  • Advising a senior exec of a multi-jurisdictional business on a proposed exit package amounting to several hundred thousand pounds in advance of a large-scale merger. The package included 100% recovery of the client’s bonus despite certain criteria not being met and ‘good leaver’ treatment under a share investment scheme subject to an overseas jurisdiction.
  • Advising a CEO of a major business following significant inward investment by external funders on his rights under his directors’ service agreement, the shareholders agreement and his director duties. This included advising on post termination restrictions, value and dilution of shares, realisation on investment in business and the exit strategy.
